1. Purpose and acceptance

These terms govern access to and use of MothiOS, the platform provided by [PENDING: full company name] (hereinafter, "the provider").

By signing in, the user accepts these terms. The commercial conditions (price, term, service levels) of each client organisation are governed by its contract with the provider. [PENDING: which prevails if the contract and these terms conflict].

2. What the service is

MothiOS is a management platform for manufacturers and distributors of light electric vehicles. Depending on what each organisation has contracted, it includes: production and quality control, sales (customers, opportunities, orders and order signing), deliveries and delivery notes, aftersales (incidents, workshops, knowledge base and spare parts), fleet, invoicing, portals for customers and workshops, notices by email and Telegram, and the MothiOS agents.

The platform is provided over the internet. Some parts work offline in a limited way: the browser temporarily keeps recent pages and responses to show them if the network fails.

3. User accounts and obligations

Accounts are created by each organisation for its users; there is no open sign-up. Each account has a role (administration, sales, distributor, customer or workshop) that determines what the user can see and do.

The user undertakes to:

• Keep their password secret and not share their account.
• Notify their organisation if they suspect someone has accessed their account.
• Enter only truthful data that they are entitled to process, in particular third-party data (contacts, customers, applicants).
• Not attempt to access data of other organisations or other users, or to circumvent the platform's permissions or security.
• Not use the platform for unlawful purposes or deliberately overload it.

The provider may suspend an account that breaches these terms or poses a security risk. [PENDING: prior notice procedure, except in urgent cases].

4. Use of the MothiOS agents

The MothiOS agents (Fleet, Aftersales, Technician and Reports) generate their replies with a language model. They can be wrong: their replies are an aid and the user must check them before making decisions based on them, especially on technical diagnoses, costs and deadlines.

The agents never change data on their own: they propose the action, and the user reviews it and confirms or discards it. Responsibility for confirming it lies with the user. Proposals expire after 30 minutes.

To reply, the agents send data to the model provider. We explain this in the privacy policy.

5. Each organisation's data

The data each client organisation enters into MothiOS (its customers, contacts, vehicles, incidents and other operations) belongs to it, and it is the controller of that data. The provider processes it as a processor, only to provide the service and on the organisation's instructions, under the data processing agreement (Article 28 GDPR) that forms part of its contract. The provider is the controller only of its own data: the platform's user accounts, the invoicing of its clients and support.

6. Intellectual property

The platform, its code, design, texts and the MothiOS brand belong to the provider or its licensors. The contract gives each organisation and its users a right of use for its duration, not ownership.

Copying, decompiling or reselling the platform is not permitted, nor is extracting its content in bulk or by automated means, except through the API under the conditions the provider authorises.

7. Liability

The provider takes reasonable measures for the platform to work continuously and securely, but cannot guarantee that there will be no interruptions or errors.

8. Changes to the service and to these terms

The platform evolves: features may be added, changed or withdrawn.
